寄售協議
_________公司，註冊地在中國上海_________（以下稱寄售人），與_________公司，註冊地在_________（以下稱代售人），按下列條款簽訂本協議：
1.寄售人將不斷地把_________（貨物）運交給代售人代售。貨物價格為市場CIF市價，約隔90天運交一次。
2.代售人在徵得寄售人對價格、條款等到同意之後，必須盡力以最好價格出售寄售商品。
3.開始階段，每次船運貨物的價格不得超過_________美元，代售人未償付的貨款不能超過_________美元。
4.寄售人對賒銷造成的壞賬不負任何責任，代售人在任何時候均負有支付寄售人貨款的義務。
5.代售人將接受寄售人開立的以代售人為付款人的90天遠期匯票，年利_________％。

CONSIGE AGREEMENT
This Agreement is entered into between _________ Co. （hereinafter referred to as the Consignor）， having its registered office at _________， Shanghai， China and _________ CO. （hereinafter referred to as the Consignee）， having its registered office at_________， on the following terms and conditions：

8.仲裁:
Arbitration:
凡因本協議引起的或與本協議有關的任何爭議應協商解決。若協商不成，應提交華南國際經濟貿易仲裁委員會，按照申請仲裁時該會現行有效的仲裁規則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。
Any dispute arising from or inconnection with the Contract shall be settled through friendly negotiation. Incase no settlement is reached, the dispute shall be submitted to South ChinaInternational Economic and Trade Arbitration Commission (SCIA) for arbitrationin accordance with its rules in effect at the time of applying for arbitral award is final and binding upon both parties.
9.本協議用中英文兩種文字寫成，兩種文字具有同等效力。本協議共__份，自雙方代表簽字(蓋章)之日起生效。

甲方寄賣物品金額為____________。寄賣物品清單如下：
一、甲方委託乙方寄賣的物品必須保證其物品的合法性及真實性，其物品如屬於非法所得物品，甲方必須承擔乙方的經濟損失以及相關的法律責任。
二、甲方因隱瞞寄賣物品存在共有、爭議、被扣押或已設定抵押權或涉及案件等情況而給乙方造成經濟損失的，應向乙方支付寄賣合同項下寄賣金額 %的違約金。
三、寄賣物品售出後，甲方按寄賣物品成交價的百分之____%向乙方支付佣金。
四、乙方有義務向甲方通報寄賣物品的銷售信息，反映當地的市場情況和消費者意見，經甲、乙雙方協商後，甲方同意低於雙方寄賣金額成交的物品時，佣金按雙方簽訂的寄賣金額全額支付。
五、 本協議經雙方簽字後有效期為_____，從__年__月__日起到___年_月__日止。如果一方需要延長協議，必須在滿期前一個月書面通知另一方。如因乙方門面到期、經營不善或轉讓，乙方應提前通知甲方，終止本協議。如甲方終止寄賣物品時，須向乙方支付 保管費，本合同終止。
六、凡執行協議引起的一切爭議，應通過雙方協商解決。如協商不成，應提交法院，按其仲裁程序暫行規定則進行仲裁。以法院的裁決是終局的，並約束雙方。
其他條款：
(1)如有任何客户堅持要與甲方直接交易，甲方有權直接成交。在後一情況下，甲方應送給乙方銷貨確認書副本一份，並按該筆交易額的百分之_為乙方保留佣金。
(2)、甲方必須保證寄賣物品的合法性，如不合法，所產生的任何法律後果由甲方完全負責。
本協議共寫成一式兩份，每方各執一份。
備註：本協議自簽訂之日起，如遇人力不可抗拒的自然因素而造成甲方寄賣物品受到損失，乙方不負責賠償。
