11.裝運通知：一俟裝運完畢，賣方應即電告買方合同號、品名、已裝載數量，發票總金額，毛重，運輸工具名稱及啟運日期等。 shipping advice : the sellers shall immediately , upon the completion of the loading of the goods , advise the buyers of the contract no , names of commodity , loaded quantity , invoice values , gross weight , names of vessel and shipment date by tlx/fax.
12.檢驗與索賠：
inspection and claims:
①賣方在發貨前由 檢驗機構對貨物的品質、規格和數量進行檢驗，並出具檢驗證明書。
the buyers shall have the qualities , specifications , quantities of the goods carefully inspected by the inspection authority , which shall issue inspection certificate before shipment.
②貨物到達目的的口岸後，買方可委託當地的商品檢驗機構對貨物進行復檢。如果發現貨物有損壞、殘缺或規格、數量與合同規定不符，買方須於貨到目的口岸的 天內憑 檢驗機構出具的檢驗證明書向賣方索賠。
the buyers have right to have the goods inspected by the local commodity inspection authority after the arrival of the goods at the port of destination. if the goods are found damaged / short / their specifications and quantities not in compliance with that specified in the contract, the buyers shall lodge claims against the sellers based on the inspection certificate issued by the commodity inspection authority within days after the goods arrival at the destination.
③如買方提供索賠，凡屬品質異議須於貨到目的的口岸之日起 天提出;凡屬數量異議須於貨到目的口岸之日起 天提出。對所裝貨物所提任何異議應由保險公司、運輸公司或郵遞機構負責的，賣方不負任何責任。

13.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負責，但賣方應將上述發生的情況及時通知買方。
force majeure : the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure . but the sellers shall advise the buyers on times of such occurrence.
14.爭議之解決方式：
disputes settlement : □任何因本合同而發生或與本合同有關的爭議，應提交中國國際經濟貿易仲裁委員會，按該會的仲裁規則進行仲裁。仲裁地點在中國深圳。仲裁裁決是終局的，對雙方均有約束力。

15.法律適用
law application :
本合同之簽訂地、或發生爭議時貨物所在地在中華人民共和國境內或被訴人為中國法人的，適用中華人民共和國法律，除此規定外，適用《聯合國國際貨物銷售公約》。

13.裝運條款：
□ FOB
賣方應在合同規定的裝運日期前30天，以電報/電傳/傳真通知買方合同號、品名、數量、金額、包裝件、毛重、尺碼及裝運港可裝日期，以便買方安排租船/訂艙。裝運船隻按期到達裝運港後，如賣方不能按時裝船，發生的空船費或滯期費由賣方負擔。在貨物超過船舷並脫離吊鉤以前一切費用和風險由賣方負擔。
The sellers shall , 30 days before the shipment date specified in the contract advise the buyers by CABLE / TELEX /FAX of the contract No. , commodity , quantity , amount , packages , gross weight , measurement , and the date of shipment in order that the buyers can charter a vessel / book shipping space . In the event of the sellers’ failure to effect loading when the vessel arrives duly at the loading port , all expenses including dead freight and / or demurrage charges thus incurred shall be for seller’s account.

CIF and CFR
賣方須按時在裝運期限內將貨物由裝運港裝船到目的港。在CFR術語下，賣方應在裝船前2天電傳/傳真/電報買方合同號、品名、發票價值及開船日期，以便買方安排保險。
The sellers shall ship the goods duly within the shipping duration from the port of shipment to the port of destination . Under CFR terms , the sellers shall advise the buyers by CABLE/FAX/TELEX of the contract No. , commodity , invoice value and the date of despatch two days before the shipment for the buyers to arrange insurance in time.

14.裝運通知
shipping advice :
一件裝載完畢，賣方應在____小時內電傳/傳真/電報買方合同編號、品名、已發運數量、發票總金額、毛重、船名/車/機號及啟程日期等。

15.質量保證：
Quality guarantee :
貨物品質規格必須符合本合同及質量保證書之規定，品質保證期為貨到目的港_____個月內，在保證期限內，因製造廠商在設計製造過程中的缺陷造成的貨物損害應由賣方負責賠償。
The sellers shall guarantee that the commodity must be in conformity with the quality and specifications specified in this contract and Letter of Quality Guarantee guarantee period shall be months after the arrival of the goods at the port of destination , and during the period the sellers shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.
16.商品檢驗：賣方須在裝運前_____日委託 檢驗機構對合同之貨物進行檢驗並出具檢驗證書，貨到目的港後，由買方委託____檢驗機構進行復檢。
Goods inspection : The sellers shall have the goods inspected by Inspection Authority days before the shipment and issued the Inspection Certificate . The buyers shall have the goods reinspected by Inspection Authority after the goods arrival at the destination.
17.索賠
Claims:
如經中國_____檢驗機構複檢，發現貨物有損壞、殘缺或品名、規格、數量及質量與本合同及質量保證書之規定不符，買方可於貨到目的港後 天內憑上述檢驗機構出具的證明書向賣方要求索賠。如上述規定之索賠期與質量保證期不一致，在質量保證期限內買方仍可向賣方就質量保證條款之內容向賣方提出索賠。
The buyers shall lodge claims against the sellers based on the Inspection Certificate issued by China Inspection Authority Days after the arrival of the goods at the destination , if the goods are found to be damaged , missing or the specifications , quantity, and quality not in conformity with those specified in this contract and Letter of Quality Guarantee . In case the claim period above specified is not in conformity with the quality guarantee period, during the quality guarantee period, the buyers have rights to lodge claims against the sellers concerning the quality guarantee.
18.延期交貨違約金
Late delivery and penalty
除雙方認可的不可抗力因素外，賣方遲於合同規定的期限交貨，如買方同意遲延交貨，賣方應同意對信用證有關條款進行個性和同意銀行在議付貨款時扣除本條規定的違約金。違約金總值不超過貨物總價值的5%，差率按7天0.5%計算，不滿7天仍按7天計算。在未採用信用證支付的情況下，賣方應將前述方法計算的違約金即付買方。
If the sellers fail to make delivery on time as stipulated in the contract , with exception of Force Majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the L/C and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . The penalty , however , shall not exceed 5% of the total value of the goods . The rate of penalty is charged at 0.5%for every seven days , if less that seven days. In case , the payment is not made through L/C , the sellers shall pay the penalty counted as above to the buyers as soon as possible.
19.人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣方概不負責，但賣方應將上述發生的情況及
時通知買方。
Force Majeure : The sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure . But the sellers shall advise the buyers on times of such occurrence.
20.爭議之解決方式：
Disputes settlement :

甲、乙雙方在平等互利基礎上經友好協商，特訂立本合同，共同遵守。
第一條 補償貿易內容
1.乙方向甲方提供_________臺(套)裝置及其效能規格資料、輔助裝置和零、備、附件及試車用原材料(提供裝置另用附件詳列)。
2.甲方將用乙方提供的裝置所生產的_________產品，償付上述裝置的價款，也可用其他商品來償付。償付商品的品種、數量、價格、交貨條件等，詳見合同附件。
第二條 補償方法
1.甲方分期開出以乙方為受益人的遠期信用證，分期、分批支付全部機械裝置的價款。
2.乙方開出以甲方為受益人的即期信用證，支付補償商品的貨款。
3.當乙方支付貨款不能相抵甲方所開遠期信用證之金額時，乙方用預付貨款方式，在甲方遠期信用證到期之前匯付甲方，以便甲方能按時議付所開出的遠期信用證。
4.由於甲方所開立遠期信用證的按期付款以乙方開出即期證及預付貨款為基礎，所以乙方特此保證及時按合同規定開出即期證及預付貨款。
第三條 補償商品
1.甲方用乙方提供裝置生產的商品(詳見附件)，按每公曆月_________套(件)供應乙方。
2.對其他商品，雙方同意分批簽署供貨合同。供貨條件由雙方另議。
第四條 償還方式
1.甲方自乙方提供裝置在甲方場地試車驗收後第_________個月起，每月償還全部裝置價款的_________%。
2.甲方可以提前償還，但應在_________天之前通知乙方。
3.在甲方用補償商品償還裝置價款期間，乙方按本合同有關規定，開立以甲方為受益人的足額、即期、不可撤銷、可分割可轉讓的信用證。

第六條 補償商品作價

第九條 附加裝置
在執行本協議過程中，如發現本合同項下的機械裝置在配套生產時，還需增添新的裝置或測試儀器，可由雙方另行協商，予以補充。補充的內容仍應列入本合同範圍之內。
第十條 保 險
裝置進口後由乙方投保。裝置所有權在付清貨款發生移轉後，如發生意外損失先由保險公司向投保人賠償，再按比例退回甲方已支付的裝置貨款。
第十一條 稅收與費用
本補償貿易專案中所涉及的一切稅收與費用的繳付，均按照中華人民共和國的有關稅收法律、法規辦理。
第十二條 違約責任
乙方不按合同規定購買補償商品或甲方不按合同規定提供商品時，均應按合同條款承擔違約責任，賠償由此所造成的經濟損失，並向對方支付該項貨款總值的_________%的罰款。
第十三條 履約保證
為保證合同條款的有效履行，雙方分別向對方提供由各自一方銀行出具的保函，予以擔保。甲方的擔保銀行為中國銀行_________行，乙方的擔保銀行為_________國_________銀行。
